This article presents a comparative legal analysis of corporate legislation modernization processes in the field of state-owned enterprise governance in the Republic of Kazakhstan and the Republic of Uzbekistan. The relevance of the study is determined by the large-scale reforms of the corporate sector being carried out by both states in the context of economic liberalization and integration into international financial systems. The purpose of this work is to identify common patterns, national features, and the most effective legal mechanisms for regulating corporate governance in state-owned companies of the two countries. The article applies comparative legal, formal legal, systemic, and historical research methods. Key legislative acts are analyzed, including the Law of the Republic of Kazakhstan "On Joint-Stock Companies" (2003, as amended), the Law of the Republic of Kazakhstan "On State Property" (2011, as amended), the Law of the Republic of Uzbekistan "On Joint-Stock Companies and Protection of Shareholders' Rights" (2014, as amended), and the Law of the Republic of Uzbekistan "On Management of State Assets" (2021). Convergent trends are identified: transition to professional boards of directors, implementation of OECD principles, strengthening the role of independent directors, development of internal audit and control systems. Divergent features are also revealed, related to differences in institutional mechanisms, privatization rates, and models of state participation in the corporate sector. The findings indicate that Kazakhstan's experience with the Samruk-Kazyna Sovereign Wealth Fund and the AIFC legal framework is of practical interest for Uzbek legislators, while the Uzbek approach to managing state assets through a unified registry and the Agency for Management of State Assets may serve as a benchmark for further improvement of Kazakhstan's corporate law.
